Terms And Conditions

1. Definitions, Eligibility & Scope

These Terms & Conditions (“Terms”) govern the purchase, access, and delivery of products and professional services provided by Wise Business Plans, LLC (“Wise Business Plans,” “Wise,” “we,” “us,” or “our”).

By accessing our services, creating an account, placing an order, submitting payment, authorizing an engagement, or accepting services from Wise Business Plans, you (“Client,” “you,” or “your”) acknowledge that you have reviewed and agree to these Terms together with any applicable proposal, invoice, statement of work, engagement letter, order form, service-specific terms, or other written agreement.

If you do not agree with these Terms, you should not purchase or use the applicable Services.

Eligibility & Authority

You represent that you are at least eighteen (18) years old and legally capable of entering into a binding agreement.

If you purchase or use Services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to the applicable agreement.

Services Covered

These Terms may apply to:

• SBA, bank, startup, acquisition, investor, franchise, nonprofit, USDA, landlord, strategic, expansion, exit, succession, and other business plans
• E-2, L-1A/New Office, EB-5, EB-2 NIW, and other immigration-related business planning and economic analysis
• Financial forecasting and modeling
• Feasibility studies
• Market, industry, demographic, and economic research
• Strategic business consulting
• Fractional CFO and FP&A services
• Business valuations
• M&A and transaction advisory
• Capital and investor advisory support
• Pitch decks and investor materials
• Website design and development
• Logo, branding, and graphic design
• Business formation support
• Business license and permit research
• Grant research and grant-writing support
• AI and predictive modeling advisory
• Business analytics
• Strategic execution retainers
• Compliance-related business consulting
• Healthcare and life-sciences consulting
• Operational advisory and business continuity planning
• IPO-readiness support
• Other customized research, financial, strategic, or advisory services

Identification of a Service in these Terms does not mean that Service is included in a particular Client engagement.

Engagement Scope

Each engagement is limited to the Services described in the applicable proposal, invoice, statement of work, order form, engagement letter, package description, or other written scope.

Services outside the agreed scope may require additional fees, additional time, and written authorization.

Client Responsibilities

The Client agrees to:

• Provide accurate, complete, and current information
• Respond reasonably promptly to requests
• Attend scheduled meetings when necessary
• Complete required questionnaires
• Provide requested financial records and supporting documentation
• Review drafts and Deliverables within requested timeframes
• Provide consolidated revision requests
• Obtain necessary internal approvals
• Inform Wise of material changes affecting the project
• Maintain copies of important Client records and materials

Wise may reasonably rely upon Client-supplied information.

Wise is not responsible for errors, delays, inaccurate analysis, rejected applications, or other consequences caused by incomplete, inaccurate, misleading, fraudulent, or outdated information supplied by the Client or persons acting on the Client’s behalf.

Project Start Date

A project generally begins after Wise has received:

• Required initial payment
• Completed onboarding information or questionnaire, where applicable
• Requested supporting materials
• Any required authorization or executed agreement

Quoted timelines generally begin after these requirements have been satisfied and not necessarily on the original payment date.

Project Timelines & Delivery

Estimated completion dates are good-faith targets and may vary based upon project complexity, Client responsiveness, availability of required information, revision requests, research requirements, third-party dependencies, changes in scope, or circumstances outside Wise’s reasonable control.

Unless expressly guaranteed in writing, timelines are estimates rather than guaranteed deadlines.

Electronic delivery to the email address, account, portal, or other electronic destination designated by the Client constitutes delivery unless otherwise agreed.

Client Delays, Inactivity & Project Closure

Wise may pause a project if the Client fails to provide requested information, attend meetings, provide feedback or approvals, or otherwise becomes unresponsive.

Client inactivity does not cancel the engagement, eliminate payment obligations, or create a right to a refund.

A project remaining inactive because of Client non-responsiveness for ninety (90) consecutive calendar days may be administratively closed.

Reopening a closed project is subject to Wise’s then-current:

• Availability
• Pricing
• Personnel availability
• Research requirements
• Project requirements
• Applicable reactivation fees

Wise is not obligated to preserve original pricing, personnel assignments, research, timelines, or delivery dates indefinitely.

2. Orders, Pricing & Payment

Orders

Wise reserves the right to refuse or cancel an Order where reasonably necessary because of service availability, pricing or description errors, suspected fraud, unauthorized transactions, illegal activity, material conflicts of interest, or regulatory concerns.

If Wise cancels an Order before substantive Services begin and the cancellation is not caused by Client misconduct or breach, amounts paid for unperformed Services will be handled in accordance with applicable law and the applicable engagement terms.

Pricing

Pricing is based upon scope, complexity, research requirements, Deliverables, timeline, and required resources. Published prices may represent starting prices.

Wise may correct pricing, typographical, description, or administrative errors before accepting an Order.

Payment Terms

Depending upon the engagement, Wise may require payment in full, an initial deposit and remaining balance, milestone payments, installment payments, Net 30 terms, or recurring payments.

Payment Authorization

By submitting payment information, approving an invoice or proposal, executing an agreement, or otherwise authorizing payment, the Client represents that the Client is authorized to use the payment method provided and that the billing information supplied is true, current, and complete.

The Client authorizes Wise and its authorized payment processors to process agreed payments according to the applicable invoice, proposal, Order, payment schedule, Subscription, or engagement agreement.

Past-Due Balances

If an authorized automatic payment fails, Wise may issue an invoice or request another authorized method of payment.

Wise may suspend ongoing Services while an account remains past due.

Reasonable late fees, returned-payment charges, collection costs, or other charges may apply where expressly disclosed and permitted by law.

Subscriptions & Recurring Services

Certain Services may be provided through a Subscription or recurring retainer.

Unless otherwise stated in the applicable agreement:

• The Subscription will be billed in advance at the disclosed billing interval;
• The Subscription may automatically renew at the end of each billing period until cancelled;
• Cancellation prevents future renewal but does not ordinarily create a refund for the current billing period;
• Paid Subscription fees are non-refundable except where required by law or expressly agreed otherwise; and
• The Client remains entitled to applicable Services through the end of the paid period unless the engagement is terminated for breach or another provision provides otherwise.

Net 30 Accounts

Approved Net 30 accounts are governed by the payment terms established for the account.

Unless otherwise stated, balances are due thirty (30) days after the applicable billing or invoice date.

Failure to pay may result in suspension, loss of Net 30 privileges, lawful late charges, or collection activity.

3. Refunds, Billing Concerns & Payment Disputes

Acknowledgment of Refund & Cancellation Terms

By submitting payment or authorizing Wise to begin Services, the Client acknowledges that:

• Professional Services require Wise to reserve personnel, production capacity, research resources, technology, and other resources;
• Work may begin shortly after an Order is placed;
• Work may include administration, onboarding, scheduling, research, analysis, financial modeling, preparation, drafting, design, consulting, or other professional Services;
• Except where required by law or expressly provided otherwise, payments become non-refundable once substantive Services have commenced;
• Cancellation does not automatically eliminate amounts already earned or amounts that have become due;
• Client inactivity or failure to cooperate does not constitute non-performance by Wise; and
• Dissatisfaction with a business outcome or third-party decision does not constitute non-performance by Wise.

No Refund After Substantive Services Begin

Except where required by applicable law or expressly stated otherwise, payments are non-refundable after substantive Services have commenced.

Substantive Services may include:

• Assignment of professional personnel
• Onboarding or discovery consultations
• Research
• Market or industry analysis
• Financial modeling or projections
• Business plan development
• Strategic analysis
• Valuation work
• M&A or transaction analysis
• Fractional CFO work
• Feasibility analysis
• Website planning, design, or development
• Logo or graphic-design development
• Formation or licensing research
• Grant research or writing
• Preparation of drafts, reports, presentations, models, analyses, or other Deliverables
• Other professional work performed specifically for the Client

The fact that a final Deliverable has not yet been completed does not, by itself, mean Services have not been performed or that fees are refundable.

Client Delays & Payment Obligations

Failure by the Client to provide information, complete questionnaires, attend meetings, respond to communications, provide approvals, review drafts, submit revisions, or otherwise cooperate does not constitute failure by Wise to perform.

Where Wise is ready, willing, and reasonably able to perform but performance is delayed or prevented by the Client, applicable payment obligations remain in effect subject to these Terms and applicable law.

Third-Party Decisions Are Not Grounds for Refund

Wise does not control decisions made by lenders, the SBA, investors, USCIS, consular authorities, government agencies, grant providers, franchisors, landlords, buyers, sellers, licensing authorities, regulators, or other third parties.

A rejection, denial, delay, or unfavorable decision does not establish that Wise failed to perform and does not create a right to a refund.

Failure to obtain financing, investment, immigration approval, a grant, transaction, desired valuation, business profitability, website traffic, search ranking, or another desired outcome likewise does not create a right to a refund.

Resolving a Billing Concern

If the Client believes a billing error, unauthorized charge, service issue, or payment problem occurred, the Client agrees to promptly contact Wise at [email protected] or 1-800-496-1056 and provide Wise a reasonable opportunity to investigate and attempt to resolve the matter before initiating a payment dispute where permitted by applicable law.

Nothing in this provision waives any right that cannot lawfully be waived.

Payment Disputes & Chargebacks

A chargeback or payment dispute does not itself cancel an engagement, determine that a refund is owed, or establish that Wise failed to perform.

If a Client initiates a payment dispute, Wise may provide the applicable processor, financial institution, card issuer, card network, or dispute-resolution provider with information reasonably necessary to investigate or respond.

Such documentation may include:

• Invoice and payment records
• Payment authorization records
• These Terms and the version accepted by the Client
• Proposals and engagement documents
• Electronic acceptance records
• Questionnaires and onboarding records
• Appointment and meeting records
• Client communications
• Research and work records
• Draft and final Deliverables
• Electronic delivery records
• Revision requests
• Client approvals
• Relevant account records
• Client inactivity records
• Other evidence reasonably demonstrating authorization, performance, delivery, or compliance

Information disclosed for a payment dispute will be limited to information reasonably necessary for the dispute and handled according to applicable law.

Disputed Charges After Services Have Begun

Where Wise reasonably believes that a chargeback was initiated despite valid authorization and documented performance, Wise may contest the dispute and provide supporting evidence.

To the extent permitted by law and the applicable agreement, amounts properly due remain payable notwithstanding initiation of a payment dispute.

Wise may suspend ongoing Services while a payment dispute remains unresolved.

Outstanding Balances Following a Payment Dispute

If payment is reversed but amounts remain contractually due, Wise may pursue lawful collection of the unpaid contractual balance.

Reasonable collection costs, court costs, arbitration costs, or attorneys’ fees may be recoverable only where authorized by the applicable agreement and permitted by law.

Mandatory Consumer Rights

Nothing in these Terms eliminates or restricts consumer-protection, billing-dispute, credit-card, or other rights that cannot legally be waived.

4. Business Plan & Business Planning Services

Engagement & Proprietary Resources

When placing an Order, the Client acknowledges that Wise may immediately allocate personnel, reserve production capacity, initiate administration, schedule personnel, begin research or preparation, and provide access to proprietary processes, questionnaires, systems, tools, templates, methodologies, and resources.

Business planning Orders are therefore generally non-refundable subject to the cancellation provisions below and applicable law.

Client Cooperation & Responsiveness

If the Client:

• Is non-responsive for more than ten (10) business days;
• Fails to provide the completed business plan questionnaire or equivalent onboarding information within ten (10) business days;
• Misses, cancels, or reschedules more than two (2) scheduled appointments with the assigned writer or consultant without reasonable cause; or
• Otherwise materially delays the project by failing to provide required information or cooperation,

Wise may place the project on hold and outstanding amounts for the engagement may become immediately due and payable.

Client inactivity does not cancel the engagement or create a right to a refund.

Business Plan Cancellation Policy

Cancellation Before First Scheduled Writer Consultation. If the Client cancels in writing before the first scheduled writer consultation, Wise may retain twenty-five percent (25%) of the total engagement price.

Cancellation After Missed First Writer Appointment. If the Client misses the first scheduled writer appointment and subsequently cancels before the initial consultation occurs, Wise may retain fifty percent (50%) of the total engagement price.

Cancellation After Initial Consultation or Substantive Work. Once the initial consultation has occurred, or substantive research, analysis, drafting, financial modeling, or other professional work has begun, all fees paid are non-refundable and all remaining amounts due remain payable except where otherwise required by law.

Exceptional circumstances may be considered on a case-by-case basis but do not create an entitlement to a refund.

Planning Refunds

Business planning fees are generally non-refundable after the applicable cancellation period or after substantive Services have begun, whichever occurs first, except where otherwise required by law.

Any discretionary refund or credit offered by Wise is evaluated on a case-by-case basis and does not create a precedent or continuing obligation for another Client or engagement.

Failure to Pay & Suspension

If the Client fails to make a required payment or materially breaches the engagement, Wise may suspend Services after providing written notice and a reasonable opportunity to cure, which may be five (5) days unless another period applies.

During suspension:

• Wise is not required to continue work
• Project deadlines may be extended
• Assigned personnel may be reassigned
• Payment obligations continue
• Suspension does not constitute cancellation

Financial Projections

Financial projections are developed using Client information, historical financial information, operating data, objectives, assumptions, research, and professional judgment.

If sufficient Client information is unavailable, Wise may develop reasonable assumptions using industry research, market data, comparable or similarly structured businesses, and economic information.

Financial projections are estimates and inherently uncertain.

Wise does not guarantee projected revenue, expenses, profitability, cash flow, financing, employment, growth, valuation, or other financial results.

Material changes to the business concept, ownership, location, financing structure, financial assumptions, operating model, immigration strategy, acquisition target, or original scope may constitute a change of scope rather than a revision.

Competitive Use & Proprietary Materials

Wise’s methodologies, questionnaires, templates, research processes, workflows, financial-modeling methods, document structures, systems, pricing information, internal procedures, and proprietary materials constitute valuable intellectual property.

Clients may not purchase or access Services primarily to:

• Copy or reproduce Wise methodologies
• Obtain confidential competitive intelligence
• Reverse engineer Wise service-delivery methods
• Create substantially similar competing products or Services
• Train competing AI systems or datasets using proprietary Wise materials
• Resell or redistribute proprietary materials without authorization
• Misrepresent themselves as ordinary customers for competitive research

Wise may suspend or terminate access where it reasonably believes Services or proprietary materials are being used for unauthorized competitive purposes.

Professional Conduct

Wise is committed to professional and respectful Client service and expects the same treatment of Wise personnel.

Wise may reassign personnel, suspend Services, or terminate an engagement involving threats, abuse, harassment, discrimination, fraud, repeated unreasonable disruption, refusal to comply with reasonable project requirements, or conduct materially interfering with Wise’s ability to perform or protect personnel.

Any refund, credit, or balance following such termination will be determined according to work performed, resources committed, amounts earned, the applicable agreement, and applicable law.

5. Financial, Valuation, M&A & Capital Advisory

Fractional CFO & Financial Advisory

Fractional CFO Services may include budgeting, forecasting, cash-flow planning, KPI development, management reporting, scenario planning, profitability analysis, dashboards, capital planning, FP&A, and executive financial support.

Fractional CFO Services are advisory.

The Client retains exclusive responsibility and authority for management decisions, banking activity, accounting records, tax filings, payroll, internal controls, payments, financial reporting, and execution of financial transactions unless expressly agreed otherwise and legally permitted.

Wise does not take custody of Client funds or independently authorize Client financial transactions unless expressly agreed and legally permitted.

Unless separately agreed and appropriately licensed, Fractional CFO Services do not include audits, attest services, legal services, tax preparation, securities brokerage, investment management, or other regulated professional Services.

Business Valuation

Valuations may use discounted cash-flow analysis, market comparables, transaction comparables, financial analysis, operational analysis, and other analytical approaches.

Valuations represent estimates as of a particular date and do not guarantee that a business can be purchased, sold, financed, or transacted at the estimated value.

Unless expressly stated otherwise, a Wise valuation is prepared solely for the business purpose identified in the engagement and should not be relied upon as a certified appraisal, fairness opinion, solvency opinion, tax valuation, litigation valuation, ERISA valuation, securities opinion, or other regulated valuation.

Clients requiring a valuation for a regulated or specialized legal purpose should consult an appropriately credentialed professional.

M&A, Transaction & Capital Advisory

Wise may provide strategic M&A support, acquisition planning, exit planning, transaction readiness, target analysis, due-diligence support, CIM preparation, transaction modeling, valuation analysis, investor-readiness support, capital strategy, investor materials, and related business advisory Services.

Unless separately agreed and legally permitted, Wise does not act as a securities broker-dealer, investment bank, registered investment adviser, attorney, escrow agent, securities placement agent, lender, or fiduciary.

Wise does not guarantee transaction completion, financing, investment, buyer or seller identification, purchase price, sale price, valuation, or another transaction outcome.

Transaction-Based Compensation

Wise does not receive transaction-based compensation, securities commissions, placement fees, or compensation contingent upon the purchase or sale of securities unless the activity is lawfully conducted through an appropriately registered, licensed, or exempt person or entity and governed by a separate written agreement.

Nothing in these Terms authorizes Wise to perform regulated securities activities that legally require registration or licensing.

6. Immigration, Website, Branding & Business Services

Immigration Business Planning

Wise may prepare E-2, L-1A/New Office, EB-5, EB-2 NIW, and other immigration-related business plans, economic analyses, financial projections, and supporting business documentation.

Wise is not a law firm and does not provide immigration legal advice or legal representation unless expressly provided through an appropriately qualified professional under a separate engagement.

Government authorities independently determine immigration matters. Wise does not guarantee petition, visa, immigration, or governmental approval.

Website Design & Development

Website Services are provided according to the applicable package or written project scope.

The Client is responsible for providing sufficiently detailed requirements, content, access credentials, images, branding materials, product information, examples, approvals, and other information necessary to complete the project unless expressly included in Wise’s scope.

Hosting, domain names, premium plugins, premium themes, stock media, APIs, merchant services, software subscriptions, third-party applications, printing, and similar costs are not included unless expressly stated.

The Client is responsible for reviewing website content, business claims, product information, pricing, disclosures, policies, intellectual-property rights, regulatory requirements, and functionality before launch.

Unless expressly included, Wise does not provide legal compliance certification and does not guarantee that a website complies with every accessibility, privacy, cybersecurity, consumer-protection, industry-specific, international, federal, state, or local requirement.

After launch, the Client is responsible for ongoing backups, security, updates, passwords, hosting, third-party licenses, and maintenance unless an ongoing maintenance agreement expressly provides otherwise.

Wise does not guarantee search-engine rankings, website traffic, conversion rates, advertising performance, sales, revenue, search-engine indexing, page-speed scores, uninterrupted availability, or compatibility with every future browser, device, plugin, or technology.

Logo, Branding & Graphic Design

The applicable package or project scope determines the number of concepts, revisions, formats, and final Deliverables.

Upon full payment, the Client receives the rights expressly granted for the final approved customized design, subject to third-party rights and licenses.

Unless otherwise agreed, unused concepts, preliminary designs, drafts, working files, rejected concepts, internal design methods, and Wise’s pre-existing intellectual property remain with Wise or the applicable rights holder.

Third-party fonts, photographs, stock media, templates, software, or other licensed materials remain subject to their respective licenses.

If Wise issues a refund for design Services, no rights in refunded, unpaid, rejected, preliminary, or associated design work transfer to the Client unless Wise expressly agrees otherwise in writing.

Wise does not guarantee that a proposed business name, logo, slogan, domain name, or other brand element is legally available for trademark registration or unrestricted commercial use.

Business Formation Services

Wise may provide assistance preparing business formation information and documentation.

Unless expressly stated otherwise, government filing fees, state fees, local fees, publication fees, registered-agent fees, and other third-party expenses are not included.

Wise is not a law firm and does not provide legal or tax advice.

Business License & Permit Research

Wise may research licenses, permits, registrations, tax registrations, regulatory requirements, responsible authorities, application resources, associated fees, and other information potentially applicable to the Client’s business.

Requirements may change and are ultimately established and interpreted by governmental authorities.

Wise does not guarantee that research identifies every requirement applicable to the Client.

The Client remains responsible for confirming requirements with applicable authorities and maintaining required licenses, permits, registrations, and renewals.

Grant Support

Grant Services may include research, grant-readiness analysis, writing, application support, business narratives, financial projections, market research, and economic analysis.

Wise does not guarantee grant eligibility, acceptance, scoring, approval, or funding.

Consulting & Additional Services

Additional work outside an existing project’s scope may be billed at Wise’s then-current consulting or professional-services rate or quoted separately.

No additional work requiring additional payment will be undertaken without appropriate authorization.

7. Client Materials, Intellectual Property & Confidentiality

Change of Scope

A material expansion or alteration of the agreed engagement may constitute a change of scope.

A change of scope may require additional fees, revised timelines, additional research, different personnel, or a revised statement of work.

Wise will obtain appropriate authorization before undertaking material additional paid work.

Client Review & Approval

The Client is responsible for reviewing drafts and final Deliverables and promptly notifying Wise of material factual inaccuracies.

Delivery of final work does not relieve the Client of responsibility for verifying information before submitting it to lenders, investors, attorneys, government agencies, buyers, sellers, regulators, or other third parties.

Client Materials & Content

The Client retains ownership of original materials supplied to Wise.

The Client represents that it owns or has appropriate rights to provide and authorize Wise to use those materials.

The Client grants Wise a limited right to use, reproduce, modify, process, and otherwise handle Client-provided materials as reasonably necessary to perform the engagement.

Wise Intellectual Property

Wise retains ownership of its underlying:

• Methodologies
• Processes
• Know-how
• Templates
• Frameworks
• Software
• Research methods
• Analytical models
• Systems
• Internal tools
• Pre-existing materials
• Website content and functionality

Upon full payment, the Client receives rights to use final customized Deliverables as provided in the applicable engagement, subject to third-party rights and these Terms.

Marketing & Portfolio Use

Wise will not publicly use a Client’s non-public business plan, confidential business information, name, logo, testimonial, image, likeness, project details, or Deliverables for promotional purposes unless the Client has authorized such use or the information is otherwise lawfully public.

Any Client authorization for marketing, testimonial, portfolio, or promotional use will be subject to the scope of the authorization provided.

Confidentiality

Wise will use reasonable measures to protect non-public Client information.

Confidentiality obligations do not apply to information that becomes publicly available without breach by Wise, was already lawfully known to Wise, is independently developed, is lawfully received from another source, or must be disclosed by law, subpoena, court order, or governmental requirement.

A separate nondisclosure agreement may supplement these Terms where appropriate.

Third-Party Data & Research

Wise may use government data, market databases, economic information, industry research, publications, and other external sources.

Wise makes reasonable efforts to use credible sources but cannot guarantee third-party information is error-free, complete, current, or continuously available.

Artificial Intelligence & Technology

Wise may use software, automation, analytical tools, artificial intelligence, and other technology to support research, analysis, productivity, quality control, and service delivery where appropriate.

Use of technology does not alter the Client’s responsibility to review final Deliverables for accuracy and suitability before relying upon or distributing them.

Accounts & Security

Where Wise provides a Client account, portal, login, or similar access, the Client is responsible for safeguarding passwords and credentials and promptly notifying Wise of suspected unauthorized access or security incidents.

Data Backups

The Client should maintain an independent copy of important data and materials.

Unless a written agreement expressly provides a backup service, Wise does not guarantee permanent storage, preservation, backup integrity, or restoration of Client data.

8. Disclaimers, Liability & Dispute Resolution

No Legal, Tax, Accounting, Securities or Immigration Advice

Wise Business Plans is not a law firm.

Unless expressly provided through an appropriately licensed professional under a separate engagement, Wise does not provide:

• Legal advice
• Tax advice
• Audit or attest services
• Securities brokerage
• Investment advisory services
• Immigration legal representation
• Fiduciary investment management

No Guarantee of Results

Wise does not guarantee:

• Loan or SBA approval
• Financing
• Investment
• Capital raising
• Immigration or visa approval
• Grant awards
• Licensing or governmental approval
• Business profitability
• Revenue targets
• Market acceptance
• Transaction completion
• Sale or acquisition price
• Realization of a valuation
• Website traffic
• Search-engine rankings
• Marketing performance
• Any other specific business outcome

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, PROFESSIONAL SERVICES, INFORMATION, AND DELIVERABLES ARE PROVIDED WITHOUT WARRANTIES NOT EXPRESSLY STATED IN THE APPLICABLE WRITTEN AGREEMENT.

WISE DISCLAIMS IMPLIED WARRANTIES TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

NOTHING IN THESE TERMS EXCLUDES RIGHTS THAT CANNOT LEGALLY BE WAIVED.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WISE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOST FINANCING, LOST INVESTMENT, BUSINESS INTERRUPTION, OR LOST DATA.

TO THE FULLEST EXTENT PERMITTED BY LAW, WISE’S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PROFESSIONAL SERVICES ENGAGEMENT WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO WISE FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

Where applicable law does not permit a limitation stated above, Wise’s liability will be limited to the maximum extent permitted by applicable law.

Indemnification

To the extent permitted by applicable law, the Client agrees to indemnify and hold harmless Wise and its owners, officers, employees, contractors, and agents from third-party claims arising from materially inaccurate information supplied by the Client, Client misuse of Deliverables, Client violation of applicable law, Client infringement of third-party rights, or materials supplied without appropriate authorization.

Force Majeure

Wise will not be responsible for reasonable delays or failures caused by circumstances outside its reasonable control, including natural disasters, government actions, war or civil disturbance, labor disruptions, Internet or telecommunications failures, widespread technology outages, cyber incidents, utility failures, public health emergencies, or critical third-party system failures.

Termination & Suspension

Wise may suspend or terminate an engagement or account for nonpayment, material breach, repeated failure to cooperate, unlawful activity, material misrepresentation or fraud, abusive or threatening conduct, unauthorized competitive use, security concerns, or circumstances creating material legal, ethical, regulatory, reputational, or operational risk.

Wise may also terminate an engagement if the requested activity would be unlawful, the project remains suspended for ten (10) or more business days because of Client default or noncooperation, or the Client fails to pay amounts due after applicable notice and opportunity to cure.

The Client may terminate for a material breach by Wise that remains uncured for thirty (30) days after written notice reasonably describing the alleged breach, except where applicable law requires another period.

Termination does not eliminate amounts properly earned or otherwise due. Any refund, if applicable, will be determined under the applicable cancellation and refund provisions and applicable law.

Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Subject to an enforceable arbitration agreement, applicable proceedings will be brought in Clark County, Nevada unless otherwise required by law.

Dispute Resolution

Before commencing formal proceedings, the parties agree to make a reasonable good-faith effort to resolve disputes informally.

Except where prohibited by law or superseded by another written agreement, unresolved disputes may be subject to binding individual arbitration.

To the extent legally enforceable, arbitration will be conducted individually rather than as a class, collective, consolidated, or representative proceeding.

Nothing prevents either party from pursuing remedies available in small claims court where applicable or seeking appropriate injunctive relief concerning intellectual property, confidentiality, security, or unauthorized use.

International Users

Clients located outside the United States may be subject to mandatory laws of their jurisdiction.

Nothing in these Terms is intended to eliminate rights that cannot legally be waived or restricted.

United States Legal Compliance

Clients may not use Wise Services in violation of applicable United States sanctions, export-control laws, or other applicable legal restrictions.

Translation

Wise may make translated versions of these Terms available for convenience.

Unless applicable law requires otherwise, the English-language version controls in the event of a material inconsistency between the English version and a translation.

9. Service-Specific Terms

Certain Wise Services may be subject to additional terms incorporated into the applicable Order, invoice, proposal, or engagement.

Where a service-specific provision directly conflicts with these general Terms regarding that Service, the more specific provision controls unless prohibited by law.

Communication Methods

Clients may communicate with Wise through authorized channels including email, telephone, live chat or website messaging where available, and authorized Client portals or project-management systems.

For contractual notices, cancellations, refund requests, disputes, or other matters requiring a written record, Wise may require written communication by email or another designated written method.

Changes to These Terms

Wise may update these Terms to reflect changes in Services, technologies, business practices, or legal requirements.

The “Last Updated” date identifies the current published version.

Where required by applicable law, Wise will provide appropriate notice of material changes.

Severability

If a provision is determined to be invalid or unenforceable, it will be interpreted or limited to accomplish its intended purpose to the maximum extent legally permitted, and the remaining provisions will continue in effect.

No Waiver

Failure by Wise to enforce a provision does not waive that provision or Wise’s right to enforce it later.

Entire Agreement

These Terms, together with the applicable proposal, invoice, statement of work, engagement letter, Order form, service-specific terms, and incorporated provisions, constitute the agreement governing the applicable professional Services.

A more specific executed written agreement controls over these general Terms to the extent of a direct conflict concerning the applicable engagement.
